TERMS OF SERVICE
These Terms of Service ("Terms") govern your use of the VORTWAY Logistics & Solutions website (vortway.lt) and any logistics services provided by VORTWAY Logistics & Solutions ("VORTWAY", "we", "our", or "us"), a company headquartered in Kaunas, Lithuania. By accessing our website or engaging our services, you agree to these Terms.
1. Scope of Services
VORTWAY provides premium freight forwarding and logistics coordination services, including:
- Full Truckload (FTL) — dedicated truck capacity for full loads across European corridors
- Less Than Truckload (LTL) — consolidated freight solutions for partial loads
- Intermodal Transport — combined road, rail, and sea transport solutions
- Customs Brokerage — EU customs clearance, documentation, and compliance support
Specific service terms, including routes, timelines, cargo requirements, and pricing, are defined per individual contract or service agreement between VORTWAY and the client.
2. Quote Calculator
The automated quote calculator on our website provides algorithmic estimates only. These estimates do not constitute a binding offer or contractual commitment. Final rates are confirmed in writing following a formal inquiry and review by our logistics team.
3. Client Obligations
When engaging VORTWAY's services, clients agree to:
- Provide accurate, complete, and timely documentation for all shipments (commercial invoices, packing lists, CMR consignment notes, certificates of origin, etc.)
- Declare all cargo contents truthfully, including any hazardous, restricted, or regulated goods
- Comply with all applicable export/import laws, sanctions regulations, and customs requirements in origin and destination countries
- Pay agreed fees within the payment terms specified in the service agreement
4. Payment Terms
Unless otherwise agreed in writing, payment is due within 30–45 days of invoice date. Late payments may be subject to statutory interest under the Republic of Lithuania Law on the Prevention of Late Payment in Commercial Transactions. VORTWAY reserves the right to suspend services for accounts with outstanding overdue balances.
5. Liability
Limitation of Liability
VORTWAY's liability for loss of or damage to cargo is limited in accordance with the applicable international conventions and national legislation governing the mode of transport:
- Road transport — CMR Convention (Geneva, 1956): liability capped at 8.33 SDR per kilogram of gross weight of goods lost or damaged
- Rail transport — CIM / COTIF rules as applicable
- Multimodal — the convention applicable to the stage of transport where loss or damage occurred
Exclusions
VORTWAY is not liable for:
- Delays, losses, or damages resulting from force majeure events (natural disasters, war, strikes, government actions, pandemic restrictions)
- Losses arising from client's failure to provide accurate documentation or declarations
- Consequential, indirect, or punitive damages of any nature
- Losses resulting from inherent vice, insufficient packaging, or latent defects in cargo
6. Cargo Insurance
Standard freight forwarding fees do not include cargo insurance. Clients are responsible for arranging their own all-risk cargo insurance or requesting VORTWAY to arrange insurance on their behalf at additional cost. VORTWAY strongly recommends cargo insurance for all high-value, fragile, or time-sensitive shipments.
7. Prohibited Cargo
VORTWAY does not accept and will not transport:
- Goods subject to international sanctions or embargo
- Weapons, ammunition, or military equipment without applicable licenses
- Narcotics, controlled substances, or counterfeit goods
- Live animals (unless specifically agreed and licensed)
- Any cargo that violates the laws of the origin, transit, or destination country
8. Intellectual Property
All content on vortway.lt — including text, graphics, logos, and software — is the property of VORTWAY Logistics & Solutions and is protected by applicable intellectual property laws. Unauthorised reproduction or redistribution is prohibited.
9. Governing Law & Dispute Resolution
These Terms and any disputes arising from them are governed exclusively by the laws of the Republic of Lithuania, without regard to conflict-of-law principles.
Any dispute that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the competent courts of Kaunas, Lithuania.
Before initiating formal proceedings, both parties agree to attempt good-faith negotiation for a minimum of 30 days following written notice of the dispute.
10. Changes to These Terms
We may update these Terms of Service from time to time. The "Last Updated" date at the top of this page indicates when the latest revision was made. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.
